Job Summary

The corporate contract manager reports to the VP of Business Strategy and is responsible for assisting the legal department, development department and legal department in connection with management agreements, all transitions, and due diligence. This role is the gatekeeper of critical information for the company.

Responsibilities

QUALIFICATIONS:

  • Bachelor's degree with experience in Hospitality preferred; paralegal certificate or experience is a plus.

JOB RESPONSIBILITIES:

  • Coordinate engagement of outside counsel to represent the company on Hotel Management Agreement (HMA) negotiations and review
  • Coordinate with other departments on HMA-related matters
  • Draft and submit brand objection letters for new construction notices
  • Facilitate meetings with corporate hotel finance teams to provide ongoing updates to the centralized service fee exhibits that goes into the hotel management agreements
  • Assist with coordination and accuracy of certain forms, schedules and lists related to business development and legal related agreements.
  • Coordinate with other departments on HMA-related matters
  • Manage Hotel Legal onboarding and disposition process including calculating terminations fees and monitor termination dates of hotel HMAs
  • Manage and track all HMAs in electronic format on the company’s platform
  • Assist owners with filing Franchise Disclosure Document receipts and completion of franchise applications
  • Review HMAs for proposed changes to competitive sets and facilitate approval and compliance
  • Track expiration of HMAs and coordinate renewals
  • Confirm, track, and review potential area of protection clauses in current HMAs
  • Calculate and track incentive fees, termination fees and performance standards when applicable
  • Provide numerical and contractual analysis of contracts and data
  • Coordinate and review management agreements and other legal documents
  • Review and track pre-opening and TSA agreements with regards to dates, fee schedules, and other ongoing updates
